1. About these terms
These Terms of Service govern your use of the SIMIE MEDIA website, our platform and the services we provide. By using them or engaging us, you agree to these terms and to our Privacy Policy. If you are accepting for a business, you confirm you are authorised to do so. Where a written proposal or agreement with us differs from these terms, the proposal or agreement applies.
2. Our services
We provide web development and design, AI agents and chatbots, business automation and integrations, digital marketing, and a software platform for managing WhatsApp customer conversations. For project work, the scope, deliverables, timeline and cost are set out in a written proposal that you approve before work begins.
3. Our platform (app.simiemedia.com)
- Accounts. You must be at least 18 and authorised to act for your business. Keep your login details secure; you are responsible for activity under your account.
- Connecting WhatsApp. You need a valid WhatsApp Business Account and must follow the WhatsApp Business Terms of Service and the WhatsApp Business Messaging Policy, as well as Meta’s platform terms.
- Acceptable use. Message only people who have given valid permission (opt-in), honour opt-outs promptly, use approved templates outside the 24-hour customer service window, and do not send spam, illegal, deceptive or prohibited content or ask for sensitive data through messaging. See our Messaging Policy.
- Messaging fees. Meta charges conversation or message fees to your WhatsApp Business Account. These are separate from any fees we charge. Any platform fees are shown at sign-up or in your proposal.
- Your data. You keep ownership of your content and customer data. We process it only to provide the platform, as described in our Privacy Policy. You can ask us to disconnect your account or delete your data at any time (see Data Deletion).
- Availability. We aim to keep the platform available but it is provided “as is”, and features may change. WhatsApp and Meta services can change or be interrupted outside our control.
4. Proposals, fees and payment
- Fees, deposits and payment dates are stated in your proposal or invoice.
- Changes outside the agreed scope are quoted and agreed before we carry them out.
- Third-party costs, such as domains, hosting, software licences, messaging conversation charges and advertising spend, are separate from our fees unless the proposal says otherwise.
- Late payment may delay or pause work.
Cancellations and refunds are covered in our Refund & Cancellation Policy.
5. Your responsibilities
- Give us accurate information, and the content, logos and images needed, and confirm you have the right to use them.
- Use our work and platform lawfully and in line with the rules of the platforms involved.
- Before we or you send messages to customers, make sure you have their valid permission (opt-in).
- Keep your account logins secure and give us only the access we need.
- Review and approve work within a reasonable time.
6. Third-party platforms and accounts
Our services rely on third-party platforms such as WhatsApp and other Meta products, Google, hosting and automation providers. Their terms and policies apply to your use of them. Accounts such as your domain, ad accounts, analytics and business messaging accounts should be created in your name. We are not responsible for a platform’s decisions, outages, policy changes, pricing changes or account restrictions, although we will help you respond where we reasonably can.
7. AI features
AI assistants can produce inaccurate or incomplete answers. We set limits and handover rules and test before launch, but you remain responsible for reviewing how an assistant is used in your business and for making sure customers know they are speaking with AI. Any AI-assisted replies on our platform will be optional and a person will always be able to take over a conversation.
8. Intellectual property
You keep ownership of the content you give us. Once we have been paid in full, you receive the rights to the final deliverables created specifically for you. We keep ownership of our pre-existing tools, platform, code libraries, templates and methods, and grant you a licence to use them as part of your deliverables or subscription. Third-party components, themes and plugins remain under their own licences.
Unless you object in writing, we may mention that we worked with you in a general way, without sharing confidential information.
9. Confidentiality
Each side will keep the other’s non-public business information confidential and use it only for the project, except where disclosure is required by law.
10. Data protection
When we process your customers’ personal data on your behalf, we do so on your instructions and as described in our Privacy Policy. You are responsible for having a lawful basis to share that data with us and for informing your customers.
11. No guarantees
We work with care and skill, but we do not guarantee particular results, such as search rankings, traffic, leads, sales, ad performance or message approval and delivery rates, which depend on factors outside our control. See our Disclaimer.
12. Limitation of liability
To the fullest extent the law allows, SIMIE MEDIA is not liable for indirect or consequential loss, loss of profit, revenue or data, or for losses caused by third-party platforms. Our total liability for any claim relating to a project or subscription is limited to the fees you paid us for it in the three months before the claim. Nothing in these terms excludes liability that cannot be excluded by law.
13. Indemnity
You agree to cover reasonable losses we incur because of content you supplied that infringes someone’s rights, or because you used our work or platform unlawfully or against platform rules, for example by messaging people without valid permission.
14. Suspension and termination
Either side may end a project or subscription by written notice, subject to payment for work done. We may pause or end access if these terms or platform rules are broken, if Meta or WhatsApp restricts the account, or if we reasonably believe our work is being used unlawfully or to harm others.
15. Use of our website
You may browse and use our website for lawful purposes. Do not attempt to disrupt it, gain unauthorised access, scrape it at scale or misuse its contact channels. Website content is owned by us or our licensors and may not be copied without permission.
16. Governing law
These terms are governed by the laws of Pakistan. The courts of Lahore have jurisdiction, unless the law gives you the right to bring a claim elsewhere. We encourage you to contact us first so we can try to resolve any concern.
17. Changes to these terms
We may update these terms from time to time. The version on this page, with its “Last updated” date, applies to your use of the website and platform. Changes do not affect a signed proposal unless both sides agree.
